Terms and Conditions

 

1. GENERAL PROVISIONS

The online store available at www.greenspot.pl is operated by GREENSPOT Sp. z o.o. with its registered office at Leńcze 110, 34-142 Leńcze, Poland. Tax ID (NIP): 5512664384, National Business Registry Number (REGON): 527720841, operating based on the entry in the National Court Register (KRS): 0001087224. Name of the registering authority: District Court for Kraków-Śródmieście in Kraków, 12th Commercial Division of the National Court Register. Share capital: 5000 PLN. These terms and conditions apply to contracts concluded through the website www.greenspot.pl

Definitions:

Online Store – the Seller’s online store available at www.greenspot.pl

Terms and Conditions – these terms and conditions of the Online Store, as referred to in Article 8 of the Act of 18 July 2002 on Providing Services by Electronic Means (Journal of Laws 2002 No. 144, item 1204, as amended),

Seller – GREENSPOT Sp. z o.o. Leńcze 110, 34-142 Leńcze, Poland, Tax ID (NIP): 5512664384

operating based on the entry in the Central Register and Information on Economic Activity maintained by the Minister of Economy

Buyer – a natural person with full legal capacity, and in cases provided for by generally applicable laws, also a natural person with limited legal capacity, a natural person conducting business activity, a legal person or an organizational unit without legal personality, who uses services provided electronically by the Seller,

Registration Form – a form available in the Online Store that allows for creating an Account,

Account – a collection of resources in the Seller’s IT system, marked with an individual name (login) and password provided by the Buyer, where the Buyer’s data is collected, including information about placed Orders,

Order Form – a form available in the Online Store that allows the Buyer to place an Order and have it fulfilled without the need to create an Account,

Order – the Buyer’s declaration of will, constituting an offer to conclude a Product sales agreement with the Seller,

Sales Agreement – a Product sales agreement within the meaning of the Civil Code (Journal of Laws 1964 No. 16, item 93, as amended), concluded via the Online Store in Polish,

Product – a movable item available in the Online Store, which is the subject of a sales agreement between the Buyer and the Seller,

Cart – a virtual tool that allows the Buyer to aggregate selected Products before purchase and calculate their value. While selecting Products, the Buyer can freely manage the cart’s contents by adding more Products or removing them from the cart,

Promotion – a strictly defined time-limited price discount on selected Products that are the subject of a sales agreement between the Buyer and the Seller,

Proof of Purchase – receipt, invoice, or other document confirming the purchase of a Product,

PayU Payments – The operator of the Payment service guaranteeing the security of transferred funds is PayU SA, based in Poznań, having the status of a national payment institution and supervised by the Financial Supervision Commission, registered in the Register of payment services under the number IP1/2012,

Services provided electronically by the Seller consist of:

a) enabling the maintenance of an Account in the Online Store,

b) enabling the conclusion of a Sales Agreement by filling out the Order Form,

Completing the Registration Form and creating an Account is equivalent to the Buyer’s familiarization with the content of the Terms and Conditions and their acceptance. The agreement regarding the maintenance of an Account in the Online Store is concluded for an indefinite period and does not entail any financial obligations for the Buyer. The agreement may be terminated at any time by deleting the Account in the Online Store or by sending information about resignation by the Buyer to the Seller’s email address: kontakt@greenspot.pl

Promotions for selected Products from the store’s offer may be organized in the Online Store. The Seller decides on the rules concerning promotions, making them public on the Online Store’s website.

Announcements, advertisements of the Seller, price lists, and other information about Products, provided on the Online Store’s websites, in particular their descriptions, technical and functional parameters, and prices, constitute an invitation to conclude an agreement within the meaning of Article 71 of the Civil Code of April 23, 1964 (Journal of Laws 1964 No. 16, item 93, as amended).

The provisions of these Terms and Conditions are not intended to exclude or limit any rights of the Buyer who is also a Consumer within the meaning of the provisions of the Act of April 23, 1964 – Civil Code (Journal of Laws 1964 No. 16, item 93, as amended), granted to them under mandatory legal provisions. In case of inconsistency between the provisions of these Terms and Conditions and the above-mentioned regulations, these regulations take precedence.

 

2. ORDER PLACEMENT CONDITIONS

The Buyer is obliged to use the Online Store in a manner consistent with applicable law, principles of social coexistence, and good practices, taking into account respect for personal rights and intellectual property rights of third parties.

The Online Store conducts sales within the territory of the Republic of Poland.

a) placing an order by filling out the order form available on the Store’s website,

b) placing an order via email,

All products available in the online store are original, free from defects, and comply with applicable standards and requirements.

Orders can be placed 7 days a week, 24 hours a day.

The necessary condition for effective placement and fulfillment of the Order referred to in subpoint a) is adding the Product to the Cart, filling out the Order Form available on the Store’s website by the Buyer, and sending it to the online store.

The necessary condition for effective placement and fulfillment of the Order referred to in subpoint b) is sending personal data, contact details, and the name of the chosen product by the buyer to the address: zamowienia@greenspot.pl

Orders placed on weekdays after 5:00 PM and on Saturdays, Sundays, and public holidays will be processed on the next business day.

Confirmation of placing and accepting the Order for processing will be sent to the Buyer by the Seller in the form of an email message.

The sales agreement is considered concluded upon the Buyer’s receipt of the email message referred to in point. 12.

Orders submitted for processing may be canceled by the Buyer who is also a Consumer within the meaning of the provisions of the Act of April 23, 1964 – Civil Code (Journal of Laws 1964 No. 16, item 93, as amended), until the moment of Product shipment.

Order processing time (order completion and preparation for shipment) is up to 48 hours. The stated Order processing time does not include delivery time. For products marked with 24h availability, shipment occurs immediately after placing the order and its payment.

The Buyer is informed about the unavailability of Products, in connection with which they may agree to extend the Order processing time or resign from the ordered Product or the entire Order. In case of Product unavailability, the estimated Order processing time is determined individually with the Buyer, with an average of up to 14 business days.

The Seller reserves the right to cancel the Order if the Buyer, despite being called upon, has not supplemented within 7 days the deficiencies required for effective Order processing.

 

3. PAYMENTS

4. DELIVERY

The Buyer can choose the following methods of receiving ordered Products:

  • personal collection of ordered Products after prior consultation with the Seller,
  • delivery of Products to the Buyer’s address by a courier company – DPD Polska sp. z o.o. cash on delivery
  • delivery of Products to the Buyer’s address by a courier company – DPD Polska sp. z o.o. after prepayment of the order

The delivery address is provided by the Buyer during Order placement.

Delivery costs are borne by the Buyer, unless the customer has ordered more than 1 product – then they can choose free shipping via DPD Polska sp. z o.o., by prepaying the order.

The Seller undertakes to cover the shipping costs within the territory of Poland if this has been stipulated in the Product description.

Shipping costs are calculated according to current price lists and depend on the weight and dimensions of the shipment. The Buyer is informed about shipping costs during Order placement.

The Seller undertakes to deliver Products free from defects to the Buyer.

The Buyer undertakes to receive the sent Product.

In the event that the delivery of the shipment does not take place due to reasons attributable to the Client, in particular due to absence at the place of delivery, inability to contact the Client or lack of access to the place of delivery, and the shipment is returned to the Seller, the Client is obliged to cover the costs of re-sending the shipment.

6. EXCHANGE

The customer has the right to exchange the product for a different model, color, or pattern. The condition for exchange is sending back a new, undamaged, and well-secured for travel product to the store’s address:

The Buyer is entitled to exchange within 14 days from the date of receiving the goods. The Buyer exchanges the product at their own expense. The cost of shipping the new product in case of receiving a previously damaged product is covered by the Seller.

 

7. WARRANTY

Products offered in the Online Store are covered by a warranty provided by the Seller.

The warranty period and details of the warranty procedure are specified in the warranty card attached to the Product.

The warranty is valid provided that the assembly and use of the product comply with the manufacturer’s recommendations contained in the instructions attached to the product.

The warranty does not exclude, limit, or suspend the Buyer’s rights arising from the Seller’s liability for physical defects of the Product to the extent specified in the Act of April 23, 1964 – Civil Code (Journal of Laws 1964 No. 16, item 93, as amended).

9. PERSONAL DATA PROTECTION

10. COPYRIGHT PROTECTION

All Product photos and other materials (including texts, graphics, logos) posted on the Online Store website http://greenspot.pl are the property of the Seller or have been used by them with the consent of third parties who own the copyright.

It is forbidden to copy photos and other graphic materials and to reprint texts posted on the Online Store website http://greenspot.pl including making them available on the Internet without the written consent of the Seller or another third party who owns the copyright.

It is also prohibited for external entities to download photos from the Online Store website http://greenspot.pl and use them for marketing and commercial purposes.

The use of the above-mentioned materials without the written consent of the Seller or another third party who owns the copyright is illegal and may constitute grounds for initiating civil and criminal proceedings against those who engage in this practice.

 

11. LIABILITY

The Seller is liable for damage caused to the Buyer resulting from non-performance or improper performance of the Agreement, unless the non-performance or improper performance of the Agreement is a consequence of circumstances for which the Seller is not responsible.

The Seller’s liability for damages and thus the amount of the Buyer’s claim cannot exceed the value of the purchased Product in connection with which the damage occurred. The above does not apply to Buyers who are consumers within the meaning of the provisions of the Act of April 23, 1964 – Civil Code (Journal of Laws No. 16, item 93, as amended).

The Seller is not liable for any damages resulting from, among others:

  • damages resulting from improper operation, assembly, reconfiguration, maintenance, storage or transport,
  • damages resulting from non-compliance with common principles, use of the Product inconsistent with its intended purpose, and other damages caused by the fault or ignorance of the Buyer,
  • mechanical damages and defects caused by them,
  • force majeure events, i.e., unforeseeable and unavoidable random events, e.g., hurricane, flood, fire, etc.
  • The Buyer is responsible for any damages resulting from the Buyer’s violation of the provisions of these Terms and Conditions or generally applicable law.
  • The Seller is not liable to the Buyer for any potential damage (damnum emergens) and lost profits (lucrum cessans), including not being obliged to pay any compensation claims to the Buyer. The above does not apply to Buyers who are consumers within the meaning of the provisions of the Act of April 23, 1964 – Civil Code (Journal of Laws No. 16, item 93, as amended).

The Seller is not responsible for the correctness of operation of transaction systems provided by PayU. Any claims related to the execution of transactions handled by PayU payments should be directed exclusively to the PayU Payment Operator

 

12. FINAL PROVISIONS

The Seller reserves the right to impose restrictions on the use of the Online Store due to technical maintenance, conservation work, or improvements to its functionality. At the same time, the Seller undertakes to make every effort to ensure that these interruptions occur during nighttime hours and are as short as possible.

The Seller reserves the right to change the Terms and Conditions. Changes come into effect at the time clearly indicated by the Seller, but not earlier than 7 days after their announcement. Orders placed before the changes mentioned in the previous sentence come into effect will be processed according to the terms in force at the time of their placement.

Returns of Products in the case of warranty proceedings, complaints, or in connection with withdrawal from the contract, sent at the Seller’s expense or cash on delivery, will not be accepted.

Any disputes between the Parties will be resolved amicably or in the presence of an independent and impartial mediator. However, if an amicable resolution of the dispute is not possible, including through mediation, the court competent to resolve the dispute will be the court with jurisdiction over the Seller’s registered office.

The provision of point 4 of this paragraph does not apply to Buyers who are consumers within the meaning of the provisions of the Act of April 23, 1964 – Civil Code (Journal of Laws No. 16, item 93, as amended), for whom the jurisdiction of the Court will be determined according to the generally applicable regulations in the Republic of Poland.

In matters not regulated by these Terms and Conditions, the relevant provisions of Polish law shall apply, in particular the Act of April 23, 1964 – Civil Code (Journal of Laws 1964 No. 16, item 93, as amended) and the Act of May 30, 2014 on consumer rights (Journal of Laws 2014, item 827) and other relevant laws.
